ECONOMY ENERGY TRANSACTION RIDER
TO INDUSTRIAL POWER SERVICE
RATE SCHEDULES 832 AND 833

AVAILABILITY OF POWER

The Company will not include any sales made under this Rider in determining its needs for future capacity additions, therefore, the Company will have no obligation to serve load furnished under this Rider. Energy will be supplied under this Rider only when:

(1)

The incremental running cost of resources available to the Company is less than the rate charged, and

(2)

In the opinion of the Company, generation capacity available to the Company’s system is adequate to serve the resulting total Company load, and

(3)

The Customer has generating capacity available to backup all power purchased under this Rider.

Service under this Rider may be interrupted, at the sole discretion of the Company, at any time, for any duration, and for any reason with 10 minutes advance notice.

OPTIONAL RATE

In the event the Company would require additional generation capacity with an incremental running cost in excess of the rate to be charged as specified above to meet its energy demands all energy provided under this rider for the applicable hours will be supplied at the rate of 10.6 mills per KWH plus the incremental running cost of the next available Company generation capacity whether or not energy is actually supplied by such generation capacity.

The Company’s System Dispatcher shall notify the Customer’s operations dispatcher at least 10 minutes before such time it is necessary to implement the Optional Rate to allow the Customers an opportunity to supply their requirements from their internal generation capacity or to continue the purchase from the Company. The price of energy under this option shall be provided to the Customer’s operations dispatcher along with the notification.

ADJUSTMENT OF CHARGES FOR COST OF FUEL

The above charges shall be adjusted for cost of fuel in accordance with the formula set forth in Rule 39 of the accompanying Rules and Regulations. See Appendix B – Sheet No. 59 for applicable Fuel Cost Charge.

ADJUSTMENT FOR CUSTOMER’S PEAK PERIOD LAGGING REACTIVE KILOVOLT AMPERES

The number of Reactive Kilovolt Amperes shall be computed in accordance with the rate schedule on which the Customer is receiving electric power service.

The requirement for Reactive Kilovolt Amperes will be divided in the same proportion that total contracted capacity, including service under this Rider, is proportioned between the rate schedule on which the Customer is receiving electric power service and this Rider.
